STANDARD TERMS AND CONDITIONS OF SALE
- Waiver of Client's Own Terms and Conditions
The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. Any derogation must be expressly agreed to in advance in writing to be valid.
- Payment Terms
Our invoices are payable within 21 working days, unless another payment timeframe is indicated on the invoice or order. In the event of non-payment by the due date, K21 Limited reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. K21 Limited will be authorized to suspend any provision of services without prior warning in the event of late payment.
- Debt Recovery and Legal Costs
If a payment is still outstanding more than sixty (60) days after the due payment date, K21 Limited reserves the right to engage a debt recovery company. All legal expenses, including collection costs, will be payable by the client.
- Withholding Tax
Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client directly to the tax authorities. K21 Limited will not be responsible for any costs related to a country’s internal legislation. The amount of the invoice will remain due to K21 Limited in its entirety and does not include any costs arising from the legislation of the country in which the client is located.
- Performance of Services
K21 Limited undertakes to do its best to supply high-performing services within the agreed timeframes. However, none of its obligations can be considered as an obligation to achieve specific results. K21 Limited shall not be held responsible for any claims for damages filed against the client by an end consumer, and it shall not appear as a third party in such claims.
- Claims and Notifications
Any claim must be notified to K21 Limited in writing by means of a letter sent via recorded delivery to its registered office within eight (8) days following the delivery of goods or the provision of services. Claims not received within this period will not be considered admissible.
- Governing Law
All contractual relations between K21 Limited and the client shall be governed exclusively by the laws of Hong Kong, and any disputes arising therefrom shall be subject to the jurisdiction of the courts of Hong Kong.
- Warranty and Returns
All products sold by K21 Limited are covered by the manufacturer's warranty, unless otherwise specified. K21 Limited accepts returns of defective products within 14 days of delivery. Products must be returned in their original condition with all packaging and accessories intact. Refunds or exchanges will be processed in accordance with the manufacturer’s warranty policy.
- Limitation of Liability
K21 Limited’s liability under any contract is limited to the total value of the goods or services provided under that contract. K21 Limited shall not be liable for any indirect, consequential, or punitive damages, including but not limited to lost profits or loss of business.
- Privacy and Data Protection
K21 Limited is committed to protecting the privacy of its customers. All personal data collected will be handled in accordance with applicable data protection laws. By placing an order, the client consents to the collection and use of their personal data as described in our Privacy Policy.
- Force Majeure
K21 Limited shall not be liable for any failure or delay in the performance of its obligations under these terms if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, and supply chain disruptions.
